Terms and Conditions

1. Scope of Services

1.1 The Company agrees to provide flooring installation, repair, or maintenance services as agreed upon between the parties. The specific details of the Services, including pricing, timelines, and any additional terms, will be outlined in a separate written agreement or work order.

1.2 The Company will make reasonable efforts to complete the Services within the agreed-upon timeframe, unless unforeseen circumstances or factors beyond the Company's control prevent it from doing so.

2. Pricing and Payment

2.1 The Client agrees to pay the Company the agreed-upon price for the Services as outlined in the written agreement or work order. Pricing may include costs for materials, labor, permits, and any additional expenses necessary for the completion of the Services.

2.2 Payment terms will be clearly stated in the written agreement or work order. The Client agrees to make payments in the specified manner and within the agreed-upon timeframe. Failure to make timely payments may result in additional charges, suspension of work, or termination of the Agreement.

2.3 All prices provided by the Company are exclusive of applicable taxes, which shall be borne by the Client in accordance with applicable laws and regulations.

3. Cancellation and Rescheduling

3.1 In the event that the Client needs to cancel or reschedule the Services, they must provide written notice to the Company within a reasonable time frame. The Client may be responsible for any costs or expenses already incurred by the Company related to the Services.

3.2 The Company reserves the right to cancel or reschedule the Services due to unforeseen circumstances, such as inclement weather, unavailability of materials, or force majeure events. The Company will make reasonable efforts to notify the Client in a timely manner and arrange for an alternative schedule.

4. Warranty and Liability

4.1 The Company warrants that the Services will be performed with reasonable care and skill, in accordance with industry standards and applicable regulations.

4.2 The Client acknowledges that flooring materials may have their own warranties provided by the manufacturer or supplier, and the Company is not responsible for any defects or failures covered under such warranties.

4.3 The Company shall not be liable for any damages, losses, or expenses incurred by the Client arising from the Services, except in cases of gross negligence or willful misconduct by the Company.

5. Insurance

5.1 The Company shall maintain appropriate insurance coverage, including liability insurance, to protect against claims, damages, or losses that may arise during the provision of the Services.

6. Intellectual Property

6.1 The Company retains all intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, associated with any designs, plans, or proprietary information developed or provided as part of the Services.

7. Confidentiality

7.1 Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of the Agreement.

8. Governing Law and Jurisdiction

8.1 This Agreement shall be governed by and construed in accordance with the laws of [Ontario]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in [Ontario].
